Thank you for participating in the NebulaGraph Cloud Beta Program! These NebulaGraph Cloud Beta Terms (“Terms”) apply to and govern your participation in any or all of public or private beta programs for NebulaGraph Cloud (“Beta Program“).
Please read the NebulaGraph Cloud Beta Terms carefully as these Beta Terms, together with NebulaGraph's
Terms of Use and
Privacy Statement, form a legally binding agreement between Vesoft ("Vesoft", "we", "us" or "our") and the person ("you") registering for an NebulaGraph Cloud Account in the Beta Program.
In order to participate in a Beta Program, you need to agree with these terms. If You do not agree with these Terms, You are not permitted to access or use the NebulaGraph Cloud Beta Program.
1) Beta Service
The Beta Service provides you access to the NebulaGraph Cloud Beta Program (“Beta Program“), a pre-production release, for testing and providing feedback to NebulaGraph. The Beta Program is provided on an "as is" and "as available" basis for a limited time. The Beta Program may contain bugs, errors, and other problems. YOU ASSUME ALL RISKS AND ALL COSTS ASSOCIATED WITH YOUR USE OF THE BETA PROGRAM, INCLUDING, WITHOUT LIMITATION, ANY INTERNET ACCESS FEES, BACK-UP EXPENSES, COSTS INCURRED FOR THE USE OF YOUR DEVICE AND PERIPHERALS, AND ANY DAMAGE TO ANY EQUIPMENT, SOFTWARE,INFORMATION OR DATA. In addition, we are not obligated to provide any SLA forthe Beta Program.
Vesoft reserves the right to offer Beta Services for free or charge fees to access and use the Beta Program.
2) Participation
· Eligibility: Participation in the Beta Program is voluntary and is open only to selected participants who agree to these Terms. At our sole discretion, we reserve the right to reject access or revoke access for any participant at any time.
· Registration:You may be required to register for an account and provide accurate and complete information. You agree to keep Your account credentials confidential and not to share them with other parties.
3) License and Restrictions
We grant You a limited, non-transferable license to use the Beta Program solely for internal testing and evaluation. You, directly or through any third party, agree not to disclose the Beta Program to any third party, reverse engineer, reveal Your benchmarking, decompile, or disassemble the Beta Program. You agree You will not attempt to gain unauthorized access to the Beta Program’s underlying code or infrastructure.
4) Feedback and Communications
You agree to provide feedback to us regarding Your experience with the Beta Program, including but not limited to usability, bugs, improvements, suggestions, and performance issues (“Feedback”). All Feedback will be considered non-proprietary to You. You grant Vesoft an unlimited, irrevocable, perpetual, sublicensable, royalty-free license to use any such feedback or suggestions for any purpose without any obligation or compensation to You. You acknowledge the importance of communication and feedback between You and Vesoft during Your use of the Beta Program and agree to receive related correspondence and updates from us with regard to the Beta Program.
We may also monitor how you use the Beta Services on a limited basis under our Privacy Statement, and use that information to improve the Beta Program or our other products and services.
5) No Performance or Uptime Warranties
NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THE AGREEMENT, YOU ACKNOWLEDGE AND AGREE THAT THE BETA PROGRAM IS PROVIDED “AS-IS”WITH RESPECT TO THEIR PERFORMANCE, SPEED, FUNCTIONALITY, SUPPORT, AND AVAILABILITY AND VESOFT WILL HAVE NO LIABILITY OR OBLIGATION FOR ANY HARM OR DAMAGE ARISING FROM DEFICIENCIES THEREWITH.
6) Limitation of Use
a. Functionality is limited; some features will not be supported during the public beta period.
b. Resources are limited; the instance specifications are 4 vCPUs, 32 GiB of memory, and 80 GB of storage. Custom instance specifications are not supported during the public beta period.
c. If an instance is not used for three consecutive days after creation, it will be automatically destroyed and cannot be recovered.
7) Limitation of Liability
We shall not be liable for any indirect, incidental,special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from Your access to, use of, or inability to access or use the Beta Program.
8) Changes to Terms
We reserve the right to modify these Terms at any time.We will provide notice of these changes by posting the revised Terms and updating the "Effective Date" above. Your continued participation in the Beta Program will constitute Your consent to those changes.
9) Termination
We reserve the right to terminate the Beta Program or suspend Your access to the Beta Program at any time, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms. You may terminate Your participation in the Beta Program by canceling Your subscription to the Beta Program.
These Terms probably remain in effect for as long as You use the Beta Program until general release (General Availability or “GA”) to the public. The public beta period ends on October 30, 2024. After the expiration date, instances will be automatically destroyed and cannot be recovered.
These Terms will automatically terminate upon any breach by You of any of Your obligations hereunder including breach of confidentiality obligations. Your breach of any of your obligations under the Agreement may result in your immediate termination from use of other Beta Services, or use of NebulaGraph Services.
